PORTUGUESE ASSOCIATION OF IRELAND


CONSTITUTION


Article 1: Denomination – A “ not-for-profit association “ is established and shall be named “ Portuguese Association of Ireland “ (PAI) on 03DEC2007.


Article 2: Location - The Association is established under the Law of the Republic of Ireland and its Registered Office shall be located at Galway City Partnership, 3rd floor, The Plaza, Headford Road, Galway City, Co.Galway.
The Registered Office may be moved to a different suitable location as the Management Committee may decide by simple majority.


Article 3: Term – The Association shall be registered for an unlimited duration.


Article 4: Goals:

Section 1: Description: To ensure the preservation of Portuguese Heritage within the Portuguese residents in Ireland and to promote this Heritage amongst Irish people and other communities living in the Island.To facilitate full integration of our target group into Irish society.

Section 2: Tasks: In order to achieve its Goals, the Association shall be entitled to fulfill the following tasks:

· Organizing and/or sponsoring specific events.
· Accepting donations and grants.
· Participating is partnerships with both for-profit and non-for-profit entities.
· Promoting materials and/or documents relating to its objectives.
· Preparing and releasing press releases.


· Executing tasks appropriate to the goals, as far as they are not contradictory to the Law or to the statutes as set by the Association.


Article 5: Structure

Section 1: Management Committee - The management of the Association is entrusted to a Management Committee that interprets and applies the statutes. Consecutive Management Committee service is not limited to any amount of terms. The Management Committee meets as often as it is necessary, convened by the Chairperson or at the request of at least one third of the members.

Section 2: Officers – The Management Committee consists of a Chairperson, a Vice Chairperson, a Secretary, a Treasurer, a Youth Officer, an Education officer and a Media officer. Other officers may be elected as necessary.
The officers are elected for one year. Participation of at least one third of the members is necessary for decisions of the Management Committee to be valid. Minutes shall be taken during each meeting and they shall be signed by the Chairperson and the Secretary. Decisions related to individual members shall be by secret ballot.

Section 2.1:- The Secretary is responsible for the maintenance of up-to-date membership lists of the Association and the Management Committee and is responsible for the conduct of all votes, other than for the position of Secretary itself, for which the Chairperson is responsible. The Treasurer is responsible for the Accounts of the Association and to keep all books and financial records up to date. The youth officer will be responsible for the organization of all youth events and for reporting to the Management Committee on any issues relating to the youth groups. The Education Officer will be responsible for organizing social analysis and availability of Portuguese language classes and their coordination in order to support the biggest possible number of students. He is also to report his findings, concerns and relevant issues to the Management Committee. The Media officer will be responsible for publishing, advertising and for linking with the Media.



Section 2.2: - The creation of sub-committees, i.e. financial or fundraising committees may be established by decision of the Management Committee.


Article 6: General Assembly

Section 1: Composition – The General Assembly shall be comprised of all the Association members.

Section 2: Responsibilities – The General Assembly shall be summoned at least once a year no more than three months after the end of the year. The books of all the Association money received and spent for the last year shall be presented for approval. It will be responsible for:

· Election and removal of members of the Management Committee.
· Removal of a member of the Association.
· Amending of the statutes.
· Dissolution of the Association.
· All other cases covered by the statutes.

The General Assembly will only be able to make decisions concerning topics that are part of the Agenda.

Section 3: Notice of Meeting – Written or electronic (e-mail) notice or posting on the Association’s website shall be given to all members by the Management Committee at least 15 days prior to the designated time of the meeting and it must include date, time and place. The Agenda shall be proposed by the Chairperson and will include proposals from any member of the Association.

Section 3.1: The General Assembly can only start at the allocated time if 50% of the voting members are present.

Section 3.2: The General Assembly will start 15 minutes after the allocated time with whatever number of voting members present.


Article 7: Voting Procedure

Section 1: Normal Decisions – Each member shall be entitled to one vote and can be represented by any other member (proxy letter should be submitted to the Secretary before the start of the meeting). For current cases a simple majority of the present or represented members shall be sufficient to validate a decision.

Section 2: Special Decisions – For the following decisions a majority of two thirds is required for the validation of the same:

· Changing or amending the Association’s Goals.
· Changing or amending the Constitution.
· Dissolving the Association.

Section 3: Additional General Assemblies – The Management Committee is entitled to call additional General Assemblies if deemed necessary to the conduct of the Association activities. Extraordinary General Assemblies can also be requested by at least one third of the Association members. An invitation letter stating the proposed Agenda should be submitted to the Management Committee which will hold such meeting within one month following the request.


Article 8: Final Provisions:

Section 1: Steering Committee – The members of the steering Committee will be responsible for the implementation of all measures and initiatives and are authorized to promote receipts and expenditure considered indispensable for the establishment and proper functioning of the Association until elections take place on the first General Assembly.

Section 2: Law – In the case of an issue not being clearly defined within these statutes, the Law of the Irish State will apply.
